Terms & Conditions

These Terms & Conditions set out the basis on which CoreTechnics Ltd provides websites, software development, mobile applications, digital consultancy, SEO services, website reviews, hosting, infrastructure, support, maintenance, game development, game server hosting and related digital services.

By approving a quotation, accepting a Project Specification, making a payment, instructing CoreTechnics Ltd to begin work, using Services provided by CoreTechnics Ltd, or continuing to receive hosting, support or maintenance Services, the Customer agrees to be bound by these Terms & Conditions.

Project-specific details such as scope, deliverables, timescales, pricing, payment schedules, support arrangements and special terms will be set out in a Project Specification. Where a Project Specification expressly conflicts with these Terms & Conditions, the Project Specification shall take priority for that project only.

  1. Definitions and Interpretation

    1. CoreTechnics , we , us or Supplier means CoreTechnics Ltd.
    2. Customer , you or client means the individual, business, organisation or legal entity purchasing, commissioning or using the Services.
    3. Services means any work or service supplied by CoreTechnics, including but not limited to websites, bespoke software, mobile applications, APIs, integrations, consultancy, SEO, website reviews, hosting, managed services, support, maintenance, game development and game server hosting.
    4. Project Specification means any quotation, proposal, specification, statement of work, estimate, email confirmation, support agreement, hosting agreement, rate card or other written document issued or approved by CoreTechnics describing scope, deliverables, pricing, timescales or commercial terms.
    5. Deliverables means the outputs supplied to the Customer as part of the agreed Services.
    6. Go Live means the first deployment of a website, application, software feature, upgrade, integration, platform or hosted service into a live production environment for operational use.
    7. Defect means a material failure of the Deliverables to operate in accordance with the agreed Project Specification, where that failure is directly attributable to CoreTechnics' development work.
    8. Enhancement means any new feature, change in requirements, improvement, additional workflow, cosmetic change, optimisation or extension that is not required to correct a Defect.
    9. Variation means any change to the agreed scope, deliverables, assumptions, timescales, third-party dependencies or commercial terms.
    10. Third-Party Provider means any external supplier, platform, API, hosting provider, payment processor, app store, software vendor, framework, plugin, SDK, search engine, social media platform, domain registrar or other third party used in connection with the Services.
    11. Commercial Outcome means any revenue, profit, sales, subscription, enquiry, lead, download, ranking, traffic, player count, rating, review, conversion, return on investment or other commercial result.
    12. Headings are included for convenience and do not affect interpretation. References to clauses are references to clauses within these Terms & Conditions unless otherwise stated.

  2. Scope of Services

    1. CoreTechnics provides digital, software, website, app, game, hosting, consultancy, support and maintenance Services as agreed in writing with the Customer.
    2. The exact scope of each project will be defined in the relevant Project Specification.
    3. Any work not expressly included within the agreed scope is excluded and may be quoted separately under Clause 5 .
    4. Excluded work may include additional features, design changes, content entry, extra meetings, new integrations, data fixes, additional testing, support outside agreed hours, changes caused by Third-Party Providers or work required because the Customer's requirements change.
    5. CoreTechnics may provide advice, recommendations and technical guidance, but the Customer remains responsible for deciding whether the Services meet its business, legal, regulatory, operational and commercial requirements.

  3. Project Specifications and Acceptance

    1. For most projects, CoreTechnics will issue a Project Specification before work begins.
    2. A Project Specification may include objectives, background, deliverables, inclusions, exclusions, assumptions, key dates, pricing, payment terms, support arrangements, warranty terms and acceptance details.
    3. The Project Specification is the primary commercial document for a project. These Terms & Conditions apply in addition to it.
    4. Quotations and proposals are based on the information available when they are prepared. If information later proves inaccurate, incomplete or materially different, CoreTechnics may revise pricing, scope or timescales.
    5. Acceptance of a quotation, payment of a deposit, written approval, email confirmation, signed acceptance or instruction for CoreTechnics to begin work constitutes acceptance of the Project Specification and these Terms & Conditions.
    6. Work may be scheduled following acceptance and receipt of any agreed deposit, but start dates remain subject to availability unless expressly guaranteed in writing.
    7. Project documents define the practical and commercial basis of the work. They do not guarantee any Commercial Outcome unless expressly stated in writing.

  4. Pricing, Invoicing and Payment

    1. Pricing may be provided as a fixed project cost, estimate, hourly rate, day rate, retainer, support package, hosting subscription, emergency support rate or other agreed commercial arrangement.
    2. Payments must be made according to the relevant quotation, invoice, Project Specification, support agreement or hosting agreement.
    3. Deposits, staged payments, retainers, hosting fees and support fees are payable when due.
    4. Unless otherwise agreed in writing, payments are non-refundable once work has commenced or Services have been provided, except where a refund is expressly due under Clause 23 .
    5. Fixed-price work covers only the Deliverables expressly stated in the Project Specification.
    6. Where work is carried out on an hourly, daily or retainer basis, charges will be based on time spent and any agreed minimum billing increments.
    7. Unless otherwise stated, quotations do not include third-party costs such as domains, hosting, app store fees, hardware, card readers, stock imagery, premium plugins, licences, payment provider fees, advertising spend, travel, accommodation, legal advice, accessibility audits or specialist external services.
    8. Third-party costs, hardware, licences and external services may be invoiced in advance or charged separately.
    9. CoreTechnics may pause work, withhold delivery, suspend hosting, suspend support, restrict access or take Services offline where invoices remain unpaid after their due date.
    10. CoreTechnics is not responsible for delays, downtime, loss of service or business interruption caused by late or missed payments.
    11. Where overdue invoices require administration, debt recovery, legal action or collection services, the Customer may be responsible for reasonable recovery costs and any statutory interest or charges that apply.
    12. Unless otherwise stated, the rates published on the CoreTechnics website or rate card at the time additional work is requested will apply. Where a fixed-price quotation is agreed, that quotation takes precedence for the agreed scope only.
    13. Unless expressly agreed in writing, quotations, estimates and Project Specifications are prepared on the basis that no contractual delivery guarantees, service credits, liquidated damages or financial penalty clauses apply. If such commitments are requested, CoreTechnics may revise pricing, timescales and commercial terms to reflect the additional contractual risk.

  5. Variations and Additional Work

    1. Requests for additional work, design changes, content changes, new functionality, new integrations, additional user journeys, new reports, extra testing or any other Variation may be treated as additional chargeable work.
    2. Variations may arise from Customer requests, technical discoveries, Third-Party Provider changes, app store requirements, hosting changes, security needs, compliance requirements, platform changes or new business requirements.
    3. CoreTechnics will aim to communicate when a request falls outside the agreed scope.
    4. Where appropriate, CoreTechnics may issue a revised Project Specification, additional quotation, change request or written estimate before proceeding.
    5. Where the Customer instructs CoreTechnics to carry out additional work, or where additional work is clearly required to satisfy a new or changed requirement, CoreTechnics may charge for that work at the agreed project rate, standard rate card or a separately agreed fee.
    6. Where additional work is required to protect security, maintain compatibility, restore service, resolve urgent operational issues or comply with Third-Party Provider requirements, CoreTechnics may act reasonably to protect the service and charge for the work where appropriate.
    7. Additional work may affect project timescales, delivery dates, warranty coverage and support requirements.
    8. Functionality modified, enhanced or extended by later commissioned work will be covered by the warranty applicable to the new work, not by any previous warranty for the earlier version of that functionality.

  6. Customer Responsibilities

    1. The Customer shall provide all information, approvals, content, access, accounts, credentials and reasonable assistance required for CoreTechnics to deliver the agreed Services.
    2. Unless expressly included within the Project Specification, the Customer is responsible for supplying branding, imagery, copy, legal policies, pricing, product information, business rules and other required materials.
    3. The Customer warrants that all content, data, imagery, trademarks, logos, software, intellectual property and other materials supplied to CoreTechnics are lawful, accurate, appropriately licensed and suitable for the intended purpose.
    4. The Customer shall provide timely feedback, approvals and project decisions.
    5. The Customer shall provide access to hosting, domains, DNS, APIs, developer accounts and third-party platforms where required.
    6. The Customer shall maintain active accounts with Third-Party Providers where required, including Apple, Google, Stripe, Microsoft, Meta, SendGrid, hosting providers, domain registrars and payment providers.
    7. The Customer shall provide suitable testing accounts, test users and compatible devices where required for development, testing or app store review.
    8. The Customer is responsible for reviewing Deliverables and completing user acceptance testing within reasonable timescales.
    9. If the Customer delays providing information, approvals, access, content, testing or feedback, CoreTechnics may revise project timescales, pause work, reallocate development resources and invoice work completed to date.
    10. CoreTechnics is not responsible for delays resulting from Customer actions or omissions.
    11. The Customer is responsible for reviewing completed work before Go Live and notifying CoreTechnics of any material issues during the agreed review period.
    12. Deployment into a live environment, written approval or operational use of the Deliverables constitutes acceptance unless otherwise agreed.
    13. Where third-party accounts are owned or controlled by the Customer, the Customer remains responsible for account security, billing, verification, compliance, permissions and maintaining appropriate access.
    14. The Customer remains responsible for ensuring its business, content and ongoing use of the Deliverables comply with applicable laws, regulations and platform policies after project completion unless ongoing compliance services are expressly included within an active support agreement.

  7. Development, Delivery and Acceptance

    1. CoreTechnics will use reasonable skill and care when providing the Services.
    2. Development work will be delivered in accordance with the agreed Project Specification, subject to reasonable technical, platform, hosting, budget and third-party constraints.
    3. Progress updates may be provided through meetings, email, Asana or another suitable project management method.
    4. Before deployment or completion, the Customer may be asked to review and test the Deliverables.
    5. If no material issues are raised within a reasonable review period, or if the Customer approves deployment, uses the Deliverables in a live environment or instructs CoreTechnics to proceed, the Deliverables may be deemed accepted.
    6. Minor defects, cosmetic issues or non-critical items will not normally prevent acceptance or payment unless they materially prevent the agreed Deliverables from being used for their intended purpose.
    7. Key dates are target dates unless expressly stated to be fixed deadlines. Dates may be affected by changes in scope, Customer delay, third-party issues, illness, supplier delays or events outside CoreTechnics' reasonable control.
    8. Unless expressly stated within the Project Specification or a separately agreed written contract, CoreTechnics does not provide contractual delivery guarantees, financial penalty clauses, liquidated damages or service credit arrangements relating to milestones or completion dates.
    9. Project schedules are based upon reasonable assumptions regarding Customer cooperation, timely approvals, Third-Party Providers, platform availability and technical requirements known when the Project Specification is prepared.
    10. Where delays arise solely from CoreTechnics, we will use reasonable commercial endeavours to recover lost time, reprioritise development where practical and keep the Customer informed of revised delivery expectations.
    11. Where delays arise from Customer actions, Variations, Third-Party Providers, app store reviews, platform changes, Force Majeure or any matter outside CoreTechnics' reasonable control, project timescales shall be extended by a reasonable period.
    12. If the Customer requires guaranteed completion dates, service levels, financial penalties, liquidated damages or service credit arrangements, these must be agreed in writing before work commences and may result in revised pricing and commercial terms.

  8. Software Warranty

    1. CoreTechnics provides a Defect warranty on eligible fixed-scope development projects.
    2. The applicable warranty period begins at Go Live.
    3. The warranty applies only to functionality expressly described within the agreed Project Specification and is intended solely to cover Defects. It does not constitute ongoing maintenance or support.
    4. Unless otherwise agreed in writing, development undertaken as part of an ongoing support or development retainer has no fixed warranty period. Changes form part of a continuously evolving platform and are supported through the active retainer.
    5. Unless otherwise agreed in writing, the applicable Defect warranty period for each fixed-scope project will be stated within the relevant Project Specification.
    6. Where no Defect warranty period is stated within the Project Specification:
      1. Minor fixed-scope work valued below £500 (excluding VAT) carries no Defect warranty.
      2. All other fixed-scope projects include a 6-week Defect warranty.
    7. CoreTechnics may specify an alternative Defect warranty period, such as a 90-day Defect warranty for larger or more complex projects. Where provided, the applicable warranty period will be stated within the relevant Project Specification.
    8. The warranty covers Defects that cause the Deliverables to operate contrary to the agreed Project Specification, are directly attributable to CoreTechnics' original development work, existed at Go Live but became apparent during normal operational use, and are reported during the applicable warranty period.
    9. Qualifying Defects will be corrected at no additional charge.
    10. The warranty does not cover Enhancements, changes in requirements, cosmetic improvements unless specifically agreed, browser changes, operating system changes, API changes, Third-Party Provider changes, user error, customer-supplied data, customer configuration, infrastructure not managed by CoreTechnics, or changes made by the Customer or any third party.
    11. If functionality covered by an existing warranty is later modified, enhanced or extended under new commissioned work, the original warranty for that functionality immediately ceases. The modified functionality shall instead be covered only by the warranty applicable to the newly commissioned work.
    12. Any unaffected functionality shall retain its original warranty period.

  9. Website Design and Development

    1. CoreTechnics provides bespoke website design and development services in accordance with the agreed Project Specification.
    2. Services may include planning, design, development, content management systems, ecommerce functionality, integrations, APIs, forms, analytics, technical SEO foundations, accessibility improvements, hosting configuration, testing, deployment, training and related services where specifically included within scope.
    3. The Customer is responsible for supplying website content, imagery, branding, legal policies, product information, pricing and other materials unless these are expressly included within the Project Specification.
    4. Where stock photography, premium assets, plugins, fonts, software licences, Third-Party Provider services or paid resources are required, these may be charged separately unless otherwise agreed.
    5. CoreTechnics will use reasonable skill, care and recognised industry practice when developing websites. However, unless expressly agreed within the Project Specification, CoreTechnics does not guarantee any specific level of website performance, page speed, Core Web Vitals, Lighthouse score, search engine performance, indexing, SEO ranking, accessibility score, browser performance, server response time, uptime or availability.
    6. Website performance may be affected by hosting infrastructure, Third-Party Providers, customer content, advertising scripts, analytics platforms, plugins, browser behaviour, internet connectivity and other factors outside CoreTechnics' reasonable control.
    7. Where compliance with a specific standard, regulation or certification is required, including WCAG, GDPR, PCI DSS, Cyber Essentials, ISO standards or industry-specific requirements, this must be expressly identified within the Project Specification.
    8. Unless specifically agreed in writing, CoreTechnics does not warrant, certify or guarantee compliance with any particular legal, accessibility, technical or regulatory standard.
    9. Any warranty for website development is subject to Clause 8 .
    10. Third-Party Provider dependencies are subject to Clause 19 .
    11. CoreTechnics does not guarantee any Commercial Outcome from a website or online service.

  10. Mobile Application Development

    1. CoreTechnics provides bespoke mobile application development services in accordance with the agreed Project Specification.
    2. Services may include planning, design, user interface development, backend systems, APIs, integrations, testing, deployment, app store preparation, publication assistance and related services where expressly included within scope.
    3. The Customer is responsible for supplying branding, content, legal policies, product information, business rules and other materials unless these are included within the Project Specification.
    4. Where Third-Party Provider SDKs, libraries, services, APIs, licences or paid developer services are required, these may incur additional charges unless otherwise agreed.
    5. Where agreed within the Project Specification, CoreTechnics will assist with preparing and submitting applications to the Apple App Store, Google Play Store or other supported distribution platforms.
    6. Submission assistance does not include any guarantee that an application will be accepted, approved or published. Final approval is entirely at the discretion of the relevant platform operator.
    7. The Customer acknowledges that app marketplaces operate independent review processes and may reject, delay or remove applications for reasons outside CoreTechnics' control, including business model, application concept, functionality, subscriptions, payment methods, privacy requirements, legal compliance, intellectual property, metadata, content, branding or policy changes.
    8. If an app marketplace requires additional functionality, redesign, documentation, legal wording, account configuration or other changes outside the agreed scope, such work shall be treated as a Variation and may be charged separately under Clause 5 .
    9. Where app review requires reviewer access, demonstration accounts, testing credentials, genuine users, business accounts or physical devices, the Customer shall provide suitable resources when requested.
    10. Any warranty for mobile application development is subject to Clause 8 .
    11. Third-Party Provider dependencies are subject to Clause 19 .
    12. CoreTechnics does not guarantee app approval, downloads, user adoption, subscriptions, revenue, ratings, reviews, advertising income, return on investment or any other Commercial Outcome.

  11. Game Development

    1. CoreTechnics provides bespoke game development services for desktop, mobile, web, console, virtual reality, augmented reality and multiplayer platforms in accordance with the agreed Project Specification.
    2. Services may include gameplay programming, user interface development, backend services, multiplayer systems, dedicated server integration, player accounts, progression systems, artificial intelligence, online services, analytics, live operations and platform integrations.
    3. The Customer is responsible for supplying required game assets, artwork, audio, branding, licensing rights, game design documentation and other project materials unless expressly included within scope.
    4. Game development is iterative. Gameplay balancing, player experience, difficulty, progression, monetisation and overall enjoyment are subjective and may require multiple rounds of testing and refinement.
    5. Performance may vary depending upon hardware, operating systems, graphics drivers, network conditions, Third-Party Provider SDKs, game engines and platform services.
    6. Where console certification, platform approval or publisher requirements introduce additional work outside the Project Specification, such work shall be treated as a Variation and may be charged separately under Clause 5 .
    7. Unless otherwise agreed in writing, testing performed by CoreTechnics is intended to identify material defects but does not guarantee that all defects, exploits, balancing issues or gameplay behaviours will be identified before release.
    8. Where multiplayer functionality forms part of the project, Clause 15 shall also apply where relevant.
    9. Any warranty for game development is subject to Clause 8 .
    10. CoreTechnics does not guarantee commercial success, player numbers, sales, revenue, downloads, player retention, review scores, ratings, community growth, platform certification or any Commercial Outcome.

  12. Digital Consultations and Technical Reviews

    1. CoreTechnics provides digital consultations, technical consultancy and advisory services to assist Customers in planning, reviewing, evaluating and improving digital projects, software platforms, websites, mobile applications, infrastructure, AI solutions and technology strategies.
    2. Consultation services may include technical architecture reviews, website and software planning, codebase reviews, AI project reviews, digital transformation planning, technical due diligence, security reviews, infrastructure reviews, performance assessments, scalability assessments, project recovery recommendations and general software engineering advice.
    3. Consultation services are provided using information available at the time and represent CoreTechnics' professional opinion based on experience, recognised industry practice and information supplied by the Customer.
    4. Consultation services do not constitute legal, financial, regulatory, accounting or investment advice.
    5. The Customer remains responsible for all commercial, legal, operational and technical decisions made following any consultation.
    6. Technology, software platforms, legislation, AI models, cybersecurity risks and industry practice change over time. Recommendations appropriate at the time of consultation may later become outdated.
    7. Unless expressly agreed in writing, consultation services do not include implementation, software development, ongoing support, code changes or project management.
    8. CoreTechnics does not guarantee that following any recommendation will achieve any specific commercial, operational or technical outcome.

  13. SEO, Website Reviews and Accessibility Services

    1. CoreTechnics provides SEO audits, website health reviews, accessibility reviews, technical website assessments, performance reviews and related digital analysis services.
    2. Reviews may assess technical SEO, website performance, accessibility, user experience, security, website health, mobile compatibility, content quality, optimisation opportunities and general technical best practice.
    3. Unless otherwise stated, reviews represent CoreTechnics' findings at the time the review is undertaken and are based on information available during the assessment.
    4. Search engine algorithms, accessibility standards, browser behaviour, hosting performance and industry practice regularly change. Findings and recommendations may therefore become outdated.
    5. Any scores, ratings, priorities or recommendations provided within a review are guidance only and should not be interpreted as guarantees.
    6. CoreTechnics does not guarantee search rankings, organic traffic increases, enquiries, lead generation, sales, revenue, accessibility certification, performance scores, indexing or any Commercial Outcome.
    7. Recommendations may identify additional development work, content improvements, hosting changes, accessibility improvements or ongoing SEO activity outside the scope of the original review.
    8. Unless expressly agreed in writing, implementation of recommendations is separate work and may be quoted separately under Clause 5 .

  14. Hosting and Cloud Infrastructure

    1. CoreTechnics provides managed hosting, cloud infrastructure, backend platforms, APIs, databases, websites, mobile application backends, email services, managed servers, Docker services, SMART and SD² platform hosting, and related managed services where agreed within a Project Specification, Hosting Agreement or Support Agreement.
    2. Unless otherwise agreed, hosting services are provided on a recurring subscription basis and remain subject to timely payment.
    3. CoreTechnics aims to provide secure, reliable and appropriately sized infrastructure. Where reasonably possible, we seek to use efficiently resourced infrastructure to reduce unnecessary energy consumption and hardware waste. This is an operational objective only and not a guarantee regarding sustainability, environmental impact, carbon reduction, energy use or hardware used.
    4. CoreTechnics may move websites, applications, databases, APIs, backend systems, SMART or SD² services, containers, email services, storage, DNS, SSL certificates or other hosted infrastructure between servers, platforms, providers or data centres where reasonably necessary for security, reliability, maintenance, performance, capacity, commercial or operational reasons.
    5. Unless a formal Service Level Agreement is expressly agreed in writing, CoreTechnics does not provide a guaranteed uptime percentage, guaranteed response time, guaranteed restoration time or guarantee of uninterrupted service.
    6. CoreTechnics will use reasonable skill and care and reasonable efforts to keep hosted services accessible and operational.
    7. Hosted services may be affected by maintenance, software updates, hardware faults, supplier failures, power issues, internet routing issues, DNS issues, cyber incidents, denial-of-service attacks, configuration errors, Third-Party Provider outages, Customer changes or events outside CoreTechnics' reasonable control.
    8. CoreTechnics uses infrastructure partners which may include Hetzner Online GmbH, Krystal Hosting and other cloud, server, DNS, SSL, email, monitoring or infrastructure providers. Outages, maintenance, restrictions, pricing changes, service changes or failures affecting these providers are outside CoreTechnics' reasonable control.
    9. Hosting is provided subject to fair usage. If usage exceeds normal or expected usage for the agreed service, CoreTechnics may require the Customer to upgrade to a more suitable hosting package or agree revised commercial terms.
    10. CoreTechnics may suspend, restrict, remove or terminate any hosted service where we reasonably believe that the service, content, data, application or usage is unlawful, breaches these Terms, infringes third-party rights, contains malware, is used for spam or fraud, creates risk, places unreasonable demand on infrastructure, affects other customers or breaches upstream provider terms.
    11. Backups and disaster recovery processes may be provided as part of managed hosting. Unless a specific backup arrangement is agreed in writing, backups are provided as a disaster recovery measure only and should not be relied upon as the Customer's sole copy of important data.
    12. CoreTechnics does not guarantee that any backup will be available for every point in time, free from corruption, complete, restorable within a specific period or capable of restoring every item of data.
    13. Where email services are provided, the Customer must not use them for spam, unlawful marketing, misleading communications, abusive activity or activity that may damage sender reputation, IP reputation, domain reputation or service availability.
    14. CoreTechnics shall not be liable for loss of revenue, profit, sales, subscriptions, bookings, transactions, advertising income, customers, business, goodwill, data, reputation or other commercial losses arising from hosting interruptions, downtime, degraded performance, cyber incidents, maintenance, infrastructure failures, Third-Party Provider outages, DNS issues, email issues or service suspension.

  15. Game Server Hosting and Multiplayer Services

    1. CoreTechnics may provide game server hosting, multiplayer infrastructure, dedicated game servers, authoritative servers, relay services, matchmaking, lobby services, realtime networking systems, player account systems, leaderboards, progression systems, analytics, live operations tools, backend APIs, server allocation systems and related multiplayer infrastructure where agreed.
    2. Game server hosting and multiplayer services are subject to Clause 14 and this Clause 15 .
    3. The exact architecture, regions, capacity, scaling model, tick rate, server allocation approach, monitoring, backup arrangements and supported platforms will be defined by the Project Specification or Hosting Agreement.
    4. Unless specifically agreed, CoreTechnics does not guarantee that multiplayer services will be available in every region, suitable for every player connection, compatible with every network provider or capable of handling any particular player count, concurrency level, traffic spike or launch event.
    5. Latency, matchmaking times, connection quality, packet loss, server performance and player experience may be affected by player location, internet service providers, device performance, platform network services, game client performance, Third-Party Provider APIs, hosting regions, player numbers, game design, server load and other factors outside CoreTechnics' reasonable control.
    6. Unless expressly agreed in writing, CoreTechnics does not guarantee any specific latency, matchmaking time, tick rate, frame rate, player concurrency, server response time, regional coverage or gameplay performance outcome.
    7. Where scaling is included within scope, CoreTechnics will use reasonable endeavours to design infrastructure that can be scaled appropriately. Scaling may require additional infrastructure, configuration, monitoring, testing, development work or Third-Party Provider services, all of which may be chargeable unless expressly included within scope.
    8. Game servers and multiplayer services may require updates, patches, restarts, deployments, version changes or maintenance to remain compatible with game clients, engines, SDKs, platform services or Third-Party Provider APIs.
    9. Game and multiplayer services may rely on third-party platforms such as Steam, Epic Games, PlayStation, Xbox, Nintendo, Meta, Apple, Google, Photon, Unity services, Vivox, PlayFab, payment providers, analytics providers, authentication providers, cloud providers or other external systems. These are subject to Clause 19 .
    10. CoreTechnics may implement reasonable security, anti-abuse, rate limiting, firewall, monitoring or DDoS mitigation measures where appropriate. No security or DDoS protection can be guaranteed to prevent all attacks, disruption, abuse, cheating, exploitation or unauthorised activity.
    11. Unless specifically included in the Project Specification, game design, game balance, monetisation performance, player retention, player behaviour, download numbers, sales, subscriptions, reviews, ratings, community growth and Commercial Outcomes are outside the scope of game server hosting and multiplayer infrastructure services.
    12. Where multiplayer services, matchmaking systems, game servers or backend infrastructure are provided for alpha, beta, prototype, test or early access use, the Customer acknowledges that such systems may be unstable, incomplete or subject to change.

  16. Support and Maintenance

    1. Support and maintenance services may be provided on an ad-hoc basis, through a monthly support package or under a specific support agreement.
    2. The included hours, response expectations, rollover rules, rates and scope of support will be set out in the relevant agreement or rate card.
    3. Support packages may include advice, minor updates, bug investigation, content changes, monitoring, small improvements, technical guidance or development time, depending on the package purchased.
    4. Support packages do not automatically include new feature development, major upgrades, emergency out-of-hours work, Third-Party Provider failures, large data fixes, security incidents, malware recovery or work caused by unauthorised changes unless expressly agreed.
    5. Unless otherwise agreed, support packages are provided month-to-month and may be cancelled or downgraded by giving one month's written notice.
    6. Support packages may usually be upgraded at any time, subject to availability and agreement.
    7. Bug fixes and warranty work are governed by Clause 8 unless expressly included as part of an active support arrangement.

  17. Domains and DNS

    1. Where CoreTechnics registers, manages, renews or assists with a domain name, domain fees, renewal fees, transfer fees, premium domain fees and administration charges may apply.
    2. The Customer remains responsible for ensuring that domain names are suitable, lawful, correctly spelled and do not infringe third-party rights.
    3. CoreTechnics cannot guarantee availability of any domain name until it has been successfully registered.
    4. If renewal payments are not made on time, the domain may expire, be suspended, enter redemption, incur recovery fees or become available for registration by someone else.
    5. CoreTechnics is not responsible for loss of a domain caused by late payment, missing renewal instructions or Third-Party Provider actions.

  18. Third-Party Services

    1. Projects and Services may rely on Third-Party Providers.
    2. CoreTechnics is not responsible for failures, outages, pricing changes, policy changes, API changes, restrictions, account suspensions, rejection decisions, service limitations, data loss or other issues caused by Third-Party Providers.
    3. Where Third-Party Providers require accounts, billing details, compliance information, verification, permissions, API access or ongoing approval, the Customer is responsible for maintaining those accounts and complying with the third party's terms unless otherwise agreed.
    4. Changes introduced by Third-Party Providers may require additional work and may be charged separately under Clause 5 .

  19. SMART, SD² and Proprietary Platforms

    1. CoreTechnics may use proprietary platforms, frameworks, tools, libraries, systems, components, processes, templates, development methods, infrastructure or pre-existing code, including SMART or SD².
    2. Unless otherwise agreed in writing, CoreTechnics retains ownership of all proprietary platforms, underlying frameworks, pre-existing code, internal tools, reusable components, technical architecture, libraries, processes, know-how and development methods.
    3. Where a website, application or system is built on a CoreTechnics proprietary platform, the Customer receives a licence to use the delivered system for its intended purpose, subject to payment of all fees and compliance with these Terms & Conditions.
    4. The Customer does not acquire ownership of the underlying proprietary platform.
    5. Where technically possible and commercially reasonable, CoreTechnics can provide an export of Customer-owned content and data on request. A fee may be charged for preparing, processing, formatting or transferring exports depending on complexity.
    6. Unless specifically agreed, CoreTechnics is not required to provide server access, database access, FTP access, source code access, deployment credentials, internal tools, proprietary platform code or access that may compromise the security of other clients or systems.

  20. Intellectual Property

    1. Subject to full payment, the Customer will receive the agreed rights to use the final Deliverables for their intended purpose as described in the Project Specification.
    2. CoreTechnics retains ownership of all pre-existing intellectual property, proprietary platforms, reusable code, internal systems, methods, tools, templates, libraries, know-how and generic components used or developed during the provision of the Services.
    3. The Customer must not copy, resell, distribute, reverse engineer, sublicense or provide access to CoreTechnics proprietary systems, code, platforms or tools unless expressly permitted in writing.
    4. Third-party assets, plugins, fonts, software, libraries, frameworks and open-source components remain subject to their own licence terms.
    5. The Customer agrees to comply with any applicable third-party licence terms.

  21. Data Protection and Confidentiality

    1. Both parties agree to keep confidential information private and to use it only for the purpose of providing or receiving the Services.
    2. Where CoreTechnics processes personal data on behalf of the Customer, both parties will act in accordance with applicable UK data protection laws.
    3. The Customer is responsible for ensuring that it has a lawful basis for collecting, storing, processing and sharing personal data with CoreTechnics.
    4. The Customer is responsible for providing privacy policies, cookie notices, consent wording, data retention rules and other legal or compliance documentation required for its website, application or service unless these are specifically included within scope.
    5. CoreTechnics will take reasonable steps to protect systems and data under its control, but no system can be guaranteed to be completely secure or immune from cyber threats, user error, Third-Party Provider failures or unauthorised access.

  22. Acceptable Use

    1. The Customer must not use any website, application, hosting, server, email, API, database or service provided by CoreTechnics for unlawful, harmful, abusive, fraudulent, misleading, defamatory, infringing, malicious or otherwise inappropriate activity.
    2. Hosted content and services must comply with applicable laws, regulations, data protection requirements, intellectual property rights and third-party platform rules.
    3. CoreTechnics may suspend, restrict, remove or take offline any service that we reasonably believe breaches these Terms, poses a security risk, affects service stability, breaches legal obligations, infringes third-party rights or risks harm to CoreTechnics, other clients, infrastructure or users.

  23. Cancellation and Termination

    1. The Customer may cancel a project by giving written notice to CoreTechnics.
    2. Where a deposit is required, the deposit secures development time, project scheduling and commencement of work. Unless otherwise agreed in writing, deposits are non-refundable once the Customer has accepted the Project Specification and CoreTechnics has commenced work, allocated development resources or incurred costs in preparation for the project.
    3. If the Customer cancels before work has commenced and before CoreTechnics has incurred material costs, CoreTechnics may, at its sole discretion, refund all or part of the deposit after deducting reasonable administration costs or third-party expenses already incurred.
    4. If cancellation occurs after work has commenced, the Customer shall remain liable for the non-refundable deposit, all work completed, time spent, Services provided, committed third-party costs, non-refundable third-party costs, hardware, licences, hosting, subscriptions or services purchased specifically for the project, and reasonable wind-down costs.
    5. Where payments already made exceed the value of work completed and costs incurred, CoreTechnics may, at its sole discretion, refund the balance.
    6. CoreTechnics may cancel a project or terminate Services where the Customer fails to pay, fails to provide required information, causes unreasonable delay, breaches these Terms, behaves abusively, requests unlawful work, creates unacceptable risk or makes it impractical for CoreTechnics to continue providing the Services.
    7. Hosting, support and ongoing Services may be cancelled by giving one month's written notice unless a different notice period is agreed in writing.
    8. Where Services end part way through a billing period, recurring fees remain payable until the end of that billing period unless otherwise agreed in writing.

  24. Suspension of Services

    1. CoreTechnics may suspend work, hosting, access, support, maintenance or other Services where invoices are overdue, legal or security concerns arise, required information is not provided, third-party accounts are unavailable, or the Customer breaches these Terms & Conditions.
    2. Suspension does not remove the Customer's obligation to pay outstanding invoices or ongoing charges that continue to accrue during suspension.

  25. Limitation of Liability

    1. CoreTechnics will not be liable for indirect, incidental, special or consequential loss or damage, including loss of profits, revenue, business, opportunity, goodwill, data, business interruption or reputational damage.
    2. CoreTechnics will not be liable for issues caused by the Customer, Third-Party Providers, external platforms, hosting providers, app stores, payment processors, email providers, search engines, social media platforms, plugins, malware, unauthorised access, changes in law, changes in technology or events outside our reasonable control.
    3. CoreTechnics does not guarantee any Commercial Outcome unless expressly agreed in writing.
    4. Nothing in these Terms & Conditions limits or excludes liability where it would be unlawful to do so.

  26. Force Majeure

    1. CoreTechnics will not be responsible for delays, failures, downtime or inability to perform caused by events outside our reasonable control.
    2. This may include internet outages, power failures, supplier failures, hosting failures, cyber incidents, natural events, fire, flood, illness, strikes, war, terrorism, government action, regulatory changes, platform changes or other events beyond our control.

  27. Portfolio and Marketing

    1. Unless otherwise agreed in writing, CoreTechnics may refer to completed work in its portfolio, case studies, marketing materials, social media, proposals and website.
    2. This may include the Customer's name, logo, project summary, screenshots and a general description of the work carried out.
    3. CoreTechnics will not intentionally disclose confidential information in portfolio or marketing materials.

  28. General Legal Provisions

    1. Amendments. CoreTechnics may update these Terms & Conditions from time to time. Updated terms will be published on the CoreTechnics website or provided to the Customer in writing.
    2. Active projects. For active projects, the version accepted at the start of the project will normally apply unless the parties agree otherwise.
    3. Ongoing services. For ongoing hosting, support and maintenance Services, the latest published version may apply from the next renewal or billing period after publication.
    4. No waiver. If CoreTechnics does not enforce any right or clause at a particular time, this does not prevent CoreTechnics from enforcing it later.
    5. Severability. If any clause is found to be invalid or unenforceable, the remaining clauses shall continue to apply.
    6. Assignment. The Customer may not transfer its rights or obligations under these Terms without CoreTechnics' written consent. CoreTechnics may transfer its rights or obligations as part of a business sale, restructuring or service transfer, provided this does not materially reduce the Customer's rights.
    7. Survival. Clauses relating to payment, intellectual property, confidentiality, data protection, limitation of liability, cancellation, acceptable use and any accrued rights shall survive termination where relevant.

  29. Governing Law

    1. These Terms & Conditions are governed by and construed in accordance with the laws of England and Wales.
    2. The courts of England and Wales shall have jurisdiction unless otherwise required by law.

  30. Entire Agreement

    1. These Terms & Conditions, together with the relevant Project Specification, invoice, hosting agreement, support agreement or written service agreement, form the entire agreement between CoreTechnics and the Customer in relation to the Services supplied.
    2. These Terms replace any previous general terms, PDF terms, discussions, understandings or representations relating to the same subject matter, except where a project-specific agreement expressly states otherwise.
